Search Fund Opportunity

I am a 1999 graduate of the GSB. My partner, Chris Dooley, and I
recently closed a search fund, Gum Branch Capital
(www.gumbranchcapital.com). As you may know, a search fund is a
vehicle which allows one or two entrepreneurs to target and acquire a
small to medium sized company ($10-30 million in revenue). After the
acquisition, the entrepreneurs will receive a substantial ownership
stake in the company, and are expected to serve as the senior managers
of the company going forward. The initial phase of the search fund
involves a small initial investment round which funds a national
search for a target company for at least a couple of years. Gum
Branch Capital has a distinguished team of initial investors who not
only will provide advice and counsel during the search and acquisition
process, but also provide a substantial portion of the equity
component of the acquisition. The model described above has an
excellent track record of success, with mean IRRs averaging 30%+.


Chris and I are looking for a couple of part-time interns to help us
source suitable acquisition targets. Your duties will include
managing contact with a group of regional investment banks and
regional/vertical business brokers to maintain a healthy pipeline of
deals. We will also require you to help us strategize about
appropriate verticals (given the rapidly changing economic and
financing climate) and also to help refine the criteria used to filter
deals. The approximate time commitment for this role is 8 hours a
week.

In return for your commitment, we offer two things:

· For any deal which you identify which eventually leads to a
successful acquisition, we will pay you a success fee of 0.5% of the
final acquisition price. This means that if we purchase a company
for $20 million, we will pay you $100,000 immediately upon successful
completion of the acquisition.

· In exchange for four months of your time, we will broker an
introduction to select members of our investor base. This
introduction, combined with the experience you will be able to
reference based on your work with us, will give you a "leg up" in the
process of raising your own fund should you decide to pursue this
opportunity.
